01Scope; Acceptance; Relation to EULA

These Terms of Service (these "Terms") govern access to and use of cipheraudio.io, Stripe Payment Links checkout, purchases, downloads, License Key delivery, support, refunds, promotions, influencer discount codes, consent and privacy preference interfaces, advertising-measurement interfaces, and related services (collectively, the "Services"). The EULA governs installation, activation, and use of the Software. By accessing the website, placing an order, clicking acceptance, downloading products, or using the Services, you agree to these Terms.

02Checkout Assent and Customer Responsibility

You must provide accurate, current, and complete purchase information, including a valid email address for delivery. Cipher may require affirmative acceptance of the Terms, EULA, Privacy Policy, Refund Policy, Audio Safety Warning, Cookie and Advertising Technologies Notice, and other required disclosures before completing checkout, download, activation, or other Services. Cipher may keep records of acceptance, consent, rejection, withdrawal, or privacy choices, including timestamp, document version, banner version, order ID, email, IP-derived location, user agent, accepted URLs, download timestamp, activation timestamp, cookie-preference state, Global Privacy Control or other opt-out preference signal status, and related technical records needed to evidence and honor user choices.

03Accounts; License Delivery

No account is required at launch unless Cipher later introduces account-based features or gated download/sign-in features. After successful payment through Stripe Payment Links or another authorized checkout, Cipher will deliver a License Key and gated download access through cipheraudio.io, the purchase email, a unique per-purchase installer link, or another authorized delivery method. Delivery may be delayed by fraud screening, payment processing, email filtering, operational issues, or technical issues.

04Pricing; Payment; Taxes

Prices, currencies, discounts, taxes, and availability are shown at checkout and may change prospectively. Payments are processed by Stripe and may use Stripe Tax. By purchasing, you authorize the processor to charge the selected payment method and agree to comply with applicable processor terms. Cipher does not intentionally store full card numbers or CVV. Cipher may cancel, refuse, or reverse orders affected by obvious pricing errors, fraud, sanctions restrictions, tax issues, or payment failure.

No Subscription or Negative-Option Program at Launch. Obelisk is sold as a one-time digital software license at launch, not as an auto-renewing subscription, continuity plan, free-to-paid trial, or other negative-option program. Cipher will not charge recurring fees unless it separately presents clear recurring-billing terms and obtains any consent required by applicable law.

05Product Information; System Requirements

Before purchase, you are responsible for reviewing product description, plug-in/application formats, operating-system support, DAW compatibility, activation requirements, Machine limits, refund policy, audio-safety warnings, and system requirements. At launch, Obelisk is Windows-only and supports 64-bit VST3 and standalone use. macOS and AU are planned for a later release but are not included at launch unless expressly stated on the product page. Ableton Live and FL Studio are tested DAW environments, but compatibility is not guaranteed for every version, configuration, plug-in folder, driver, host setting, or workflow.

Compatibility-Based Claims. Stated system requirements, tested DAWs, and format information identify the launch environment and tested configurations, not a guarantee of operation in every host, driver, interface, machine, project, preset chain, operating-system update, security setting, or workflow. Incompatibility with unsupported systems, unlisted hosts, unusual configurations, future updates, third-party drivers, third-party plug-ins, or failure to review requirements is not a basis for refund except where required by law.

06Digital Delivery; EU/UK and Other Consumer Acknowledgements

The Software is supplied as digital content by electronic delivery. For EU, UK, and other consumers with statutory withdrawal rights, checkout may require express consent to immediate digital delivery and acknowledgement that withdrawal rights may be limited or lost once delivery begins, to the extent permitted by applicable law. Nothing in these Terms limits mandatory statutory rights that cannot be waived.

0730-Day Limited Refund Policy

Unless a different policy is stated at checkout, you may request a refund within 30 days after purchase only if the Software has not been made available for download and then accessed, downloaded, installed, activated, used, shared, transferred, resold, leaked, abused, or associated with fraud, chargeback activity, policy violation, or other disqualifying conduct. A download link being delivered does not by itself waive rights required by mandatory law, but accessing, starting, completing, installing, activating, or using the Software may disqualify a voluntary refund to the maximum extent permitted by law.

Download, activation, assent, payment, fraud, support, privacy-consent, and server logs may be used as evidence of purchase, assent, delivery, download, activation, use, refund eligibility, abuse, or policy violation. The absence of a remote kill switch does not create a right to continue using refunded, revoked, charged-back, fraudulently obtained, or terminated licenses.

08Chargebacks; Fraud; Abuse

If you initiate a chargeback or payment dispute without first giving Cipher a reasonable opportunity to resolve the issue, Cipher may suspend the associated license while the dispute is pending, subject to applicable law. Fraudulent or abusive chargebacks, stolen payment methods, self-referrals, coupon abuse, influencer-code abuse, license resale, public key sharing, false support claims, or repeated policy abuse may result in order cancellation, license revocation, refusal of future sales, and legal enforcement.

09Promotions; Influencer Discount Codes; Manual Payouts

Cipher may provide discounts, coupons, promotions, bundles, expansion-pack offers, upgrade offers, influencer codes, referral codes, or manual commission arrangements. Promotions have no cash value and may not be combined unless permitted. Influencer, referral, and promotional codes may be used for discounts and manual commission tracking. Cipher may approve, deny, modify, pause, or terminate any influencer, referral, discount, or commission arrangement at any time unless a separate signed written agreement states otherwise. No commission is earned on refunded, reversed, fraudulent, charged-back, self-referred, duplicate, or policy-violating transactions. Influencers must comply with advertising disclosure laws and must not make misleading product, safety, earnings, medical, therapeutic, endorsement, or affiliation claims.

Influencers, reviewers, affiliates, and creators must clearly and conspicuously disclose any material connection to Cipher, including free products, early access, discount codes, commissions, referral benefits, sponsorships, or other consideration. Cipher may withhold or void payout and require correction, takedown, or clarification for misleading claims, undisclosed endorsements, false scarcity, fake reviews, unsupported performance claims, unsafe demonstrations, or statements inconsistent with the EULA, Terms, Refund Policy, Privacy Policy, Cookie and Advertising Technologies Notice, or Audio Safety Warning.

Influencers, reviewers, affiliates, creators, and code holders are independent contractors or independent third parties, not employees, partners, franchisees, agents, or legal representatives of Cipher unless a separate signed written agreement expressly says so. They have no authority to bind Cipher, modify these Terms, promise refunds, promise compatibility, make safety claims, grant licenses, waive restrictions, or approve exceptions.

10Prohibited Conduct

You must not use the Services to violate law; infringe rights; attack, scrape, overload, crawl, copy, or interfere with the website or servers; bypass security, checkout, licensing, activation, privacy preferences, consent controls, rate limits, or access controls; resell License Keys on unauthorized marketplaces; submit malware or harmful content; impersonate others; misrepresent affiliation; abuse support; exploit refund or influencer-code systems; or assist third parties in prohibited conduct.

11Third-Party Services, Advertising Platforms, and Links

The Services may link to or integrate with third-party services including Stripe, Stripe Tax, GoDaddy, Cloudflare, Render, email providers, download hosts, DAWs, stores, consent-management providers, social platforms, advertising platforms such as TikTok and Meta, advertising measurement tools, server-side event APIs, and support tools. Third-party services are governed by their own terms and policies. Cipher is not responsible for third-party acts, omissions, outages, policies, taxes, fees, data handling, compatibility, advertising decisions, attribution reports, audience matching, platform restrictions, account suspensions, or content.

12Intellectual Property; Website Content

The website, Services, product names, graphics, text, screenshots, videos, documentation, logos, trade dress, and other content are owned by Cipher or its licensors and protected by law. You may not copy, scrape, reproduce, distribute, modify, create derivative works from, or commercially exploit website or marketing content except as expressly permitted by Cipher in writing.

13IP Complaints; DMCA Contact

If you believe content on the Services infringes your rights, send notice to support@cipheraudio.io with your contact information; identification of the work claimed infringed; identification of the allegedly infringing material; a good-faith statement; a statement under penalty of perjury that the information is accurate and you are authorized to act; and your physical or electronic signature. Cipher may remove or disable content and may terminate repeat infringers where applicable.

14Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, CHECKOUT, DOWNLOADS, SUPPORT, PROMOTIONS, INFLUENCER CODES, ADVERTISING ATTRIBUTION REPORTS, CONSENT INTERFACES, AND SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." CIPHER DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, UNINTERRUPTED OR ERROR-FREE OPERATION, AND FITNESS FOR ANY PARTICULAR AUDIO, COMMERCIAL, LIVE, ADVERTISING, ATTRIBUTION, ANALYTICS, OR SAFETY-CRITICAL USE. Mandatory statutory consumer rights remain unaffected where they cannot be waived.

15Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIPHER AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, SUPPLIERS, SERVICE PROVIDERS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS; LOST GOODWILL; LOST DATA; LOST USE; BUSINESS INTERRUPTION; SUBSTITUTE SERVICES; WEBSITE, CHECKOUT, EMAIL, DOWNLOAD, PAYMENT, SUPPORT, TAX, PROMOTION, ADVERTISING, PIXEL, ATTRIBUTION, AUDIENCE, INFLUENCER-PAYOUT, CONSENT-MANAGEMENT, OR THIRD-PARTY FAILURES, EVEN IF ADVISED OF THE POSSIBILITY. Cipher total aggregate liability will not exceed the amount paid for the product or service giving rise to the claim during the 12 months before the event, or USD $100 if you paid nothing. Nothing limits liability where prohibited by law.

16Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Cipher and its owners, officers, employees, contractors, licensors, suppliers, service providers, and affiliates from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys fees, arising from or related to your breach of these Terms, misuse of the Services, unlawful conduct, infringement, fraud, payment dispute, chargeback abuse, influencer-code abuse, circumvention of consent or privacy controls, or violation of third-party rights.

17Governing Law; Venue; Class and Jury Waiver

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Subject to mandatory consumer rights, exclusive venue for any litigation arising out of or relating to these Terms or the Services will be the state courts located in Hernando County, Florida, or, if federal subject-matter jurisdiction exists, the United States District Court for the Middle District of Florida, Ocala Division, and the parties consent to personal jurisdiction there. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION.

18Changes to Terms

Cipher may update these Terms from time to time. The Last Updated date identifies the current version. Material changes may be posted on the website, emailed, or presented during checkout, activation, or consent-management flows. Changes apply prospectively unless required by law or necessary for security, fraud prevention, compliance, or service operation. Continued use after changes become effective constitutes acceptance to the extent permitted by law.

19General; Contact

If any provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remainder will remain in effect. Failure to enforce is not a waiver. Cipher may assign these Terms in connection with merger, acquisition, restructuring, sale of assets, operation of law, or to an affiliate. You may not assign these Terms without Cipher written consent. These Terms, the EULA, Privacy Policy, Cookie and Advertising Technologies Notice, Refund Policy, Safety Warning, and any signed written agreement form the entire agreement for the Services.
